Major Cases
I have represented public companies including Northrop Grumman, Lenovo, Xerox, Pomeroy IT Solutions and Overland Storage in public and private financings, tender offers, mergers & acquisitions, securities compliance and corporate governance. I also represent a number of early stage companies in a variety of industries including defense and government contracting, life sciences, action sports, consumer products and information technology. Representative emerging growth clients include Antigen Discovery Inc., Neptunic Technologies Inc., SOFCOAST, Wind Zero Group, Munitio (TekNines) and Sally Lyndley LLC.
Significant transactions have included representation of Northrop Grumman Corporation in its $850 million offering of investment grade bonds in 2009; Overland Storage in its 2009 secondary public offering; SiliconSystems in its 2009 acquisition by Western Digital Corporation; the Special Committee of Pomeroy IT Solutions in the company’s 2009 sale to Platinum Equity; Ebert Composites in its strategic partnership with Martin Marietta Composites; and Carolina Precision Plastics in various acquisitions and strategic transactions.
Professional Background
I am a partner in the Corporate Practice Group at Sheppard Mullin and head of the Public Company team. I served on the firm’s Strategic Planning Committee and played a significant role in opening the firm’s Silicon Valley office in April 2008.
Before moving to San Diego in 1998, I practiced in Denver, Colo.

I am an Adjunct Professor at University of San Diego School of Law, where I co-teach “Deals” with Professor Frank Partnoy. I have written and spoken for numerous organizations and publications, including CONNECT, The Corporate Governance Advisor, TheCorporateCounsel.net, UCSD - Rady School of Management, the San Diego Chapter of the California Society of CPAs, the San Diego Software Industry Council, The Aji Network, and the San Diego Chapter of the National Association of Stock Plan Professionals.

Personal Background
I am married to San Diego native Patricia Miller Tishler, a woman who is “Top” in everything she does. We are proud parents of 4 wonderful children – Daniel (22), Christian (19), Cameron (4) and Alison (almost 3). I spend my spare time keeping young by keeping up with the kids.
I grew up in Northbrook, Illinois, a typical suburb 26 miles north of Chicago. I was fortunate to attend a number of seminal shows in the 1980s by bands including R.E.M., Echo and the Bunnymen, Sonic Youth, the Smiths, the Replacements, Soul Asylum and Husker Du, many at small (and incredibly loud) venues such as Caberet Metro and the Aragon Ballroom. With the responsibilities of fatherhood and career, I don’t see live music as often as I once did. My wife and I still enjoy a live show from time to time but I cede knowledge and appreciation of edgier music to my older kids.
