I have represented public companies including Northrop Grumman, Lenovo, Tree.com, Xerox and Pomeroy IT Solutions in public and private financings, tender offers, mergers & acquisitions, securities compliance and corporate governance. I also represent a number of emerging growth companies in a variety of industries including defense and government contracting, life sciences, action sports, data aggregation, consumer products and information technology. Representative emerging growth clients include CloudTrigger Inc., Genelux, Antigen Discovery Inc., Neptunic Technologies Inc., and Sally Lyndley LLC.
Recent significant transactions have included representation of private equity firm Rizvi Traverse Management for the 2011 going private of Playboy Enterprises Inc.; Northrop Grumman Corp. for its 2010 $1.5 billion registered debt offering and concurrent $1.9 billion tender offer of outstanding debt; and Tree.com for its pending sale of its LendingTree Loans business to Discover Financial Services.
I am a partner in the Corporate Practice Group at Sheppard Mullin and head of the Public Company Governance and Compliance Team. I served on the firm's Strategic Planning Committee and played a significant role in opening the firm's Silicon Valley office in April 2008.
Before moving to San Diego in 1998, I practiced corporate and securities law in Denver, Colo.
I am an adjunct professor at University of San Diego School of Law, where I co-teach "Deals" with Professor Frank Partnoy. I have written and spoken for numerous organizations and publications, including CONNECT, The Corporate Governance Advisor, TheCorporateCounsel.net, UCSD - Rady School of Management, the San Diego Chapter of the California Society of CPAs, the San Diego Software Industry Council, and The Aji Network. I am also co-editor of Sheppard Mullin's corporatesecuritieslaw.com blog.

I am married to San Diego native Patricia Miller Tishler, a woman who is "Top" in everything she does. We are proud parents of four wonderful children - Daniel (23), Christian (20), Cameron (5) and Alison (3). My wife, Cameron and I all train in the martial art of Taekwondo. Cameron is more than two belts ahead of Tricia and I, but at least for now, we enjoy a size advantage over him.
