Major Cases
I am a real estate and business transactional attorney. My real estate practice involves representing public and private companies and individual investors in the acquisition, structuring, financing, entitlement, sale and leasing of all types of real estate. In addition, I represent numerous real estate professionals including design and architectural consultants and various contractors and subcontractors. As I have in each negative real estate cycle over the last three decades, my current practice also focuses on representing lenders, borrowers, and guarantors in restructuring of loans, loan workouts and in analyzing and structuring opportunistic real estate acquisitions, and sales of single assets and portfolios of assets.
My business practice includes representing clients in the planning, formation, expansion, ongoing operation, acquisition and disposition of their businesses. The business clients include companies providing professional and other consulting services, restaurants, hotels, car dealerships, and a wide and diverse range of other businesses.
Professional Background
In 1975, I started my legal practice as the founding partner of Kolodny & Pressman, a boutique real estate and business transactional firm. I have an outstanding group of clients who have afforded me the opportunity to grow a hands-on practice by allowing me to play a meaningful and on-going role with their companies. I feel very fortunate to be able to represent our firm's clients in analyzing the viability of potential ventures, helping structure, negotiate and ultimately document significant transactions.
Professional Affiliations
My professional affiliations have included the San Diego County Bar Association, the California State Bar Association, the American Bar Association, the National Association of Homebuilders, Urban Land Institute, the Building Industry Association of San Diego, Lambda Alpha International, the New Car Dealers Association, Restaurant Tavern Associations and other trade organizations.
Personal Affiliations
The personal affiliations I am most proud of are the long-term professional and personal affiliations I have with many of our clients whom I have worked with closely for many years. To be an attorney for such a highly diverse and successful group of clients is the most fulfilling and rewarding component of practicing law.
Personal Background
I have been married to my wife, Martha, for 30 years. Martha owns a local landscape design and contracting company. She also created MAKI International, a nonprofit 501(c)(3) entity that works with women in South America. I have two wonderful daughters. Lauren, who graduated from Brown University, spent a year working for the Clinton Foundation in New Delhi, worked for Google and is starting the MBA Program at Stanford University. Carina, who graduated from Sarah Lawrence College, has worked for MTV creating a new social media project and is completing her Master's Degree in Media Studies at the New School in New York. My passion is cooking. A perfect evening is cooking and enjoying food and wine with good friends and family.

SAN FRANCISCO — The Silicon Valley venture capital firm of Kleiner, Perkins, Caulfied & Byers has been generating buzz for decades, spotting early investment opportunities and making billions with companies like Google and Amazon. Ensuring their plans are executed according to their wishes — and protecting them from unexpected pitfalls — is an important consideration for wealthy individuals. As such, a great deal of attention and press is paid to the importance of having a will or well-written trust document to ensure that your legacy is carried out. While this is a critical step, of equal importance is choosing the successor trustee — the person or entity that will carry out those wishes on your behalf.
Well-respected for their contributions to understanding of the law and to legal education, California Western School of Law associate deans William Aceves and Laura Padilla lend their considerable expertise and acumen to the day-to-day operations of San Diego’s oldest law school.
On many occasions and from many sources, including potential clients and patent attorneys, the phrase "stake in the ground" has been used to describe the purpose or goal of a provisional application. If one considers a provisional application to be a stake in the ground, to somehow capture an area of technology around a stake, all one will get is the stake. This is not a viable patenting strategy. The flaws of such strategy, previously significant for non-U.S. rights, now are magnified by virtue of the first to file provisions of the American Invents Act (AIA). The first-to-file provisions of the AIA will come into effect on March 16, 2013.

Good, honest and loyal employees are the greatest asset of any company. Unfortunately not all employees are great. Some employees are dishonest and others are vindictive. Not surprisingly, ex-employees who are discharged due to dishonesty are the most likely ones to post a defamatory blog about their former employer.
