Major Cases
Throughout my career, I have handled a wide variety of transactions ranging from assisting an entrepreneur in purchasing his first business to advising some of the largest companies in the country on corporate, merger and acquisition and securities matters. Representative transactions include advising a major national retailer on a joint venture and advising a Fortune 1,000 public company with respect to numerous M&A and securities matters. I also routinely serve as outside general counsel to public and private companies in a variety of industries.
Professional Background
I started off my career practicing corporate and securities law with an international law firm in its Washington, D.C. and San Diego offices. After several years in large law-firm life, my partner and I started our own boutique corporate and securities law firm. Despite starting our firm at the height of the recession, we persevered and managed to build a successful corporate law practice. In 2012, my partner and I joined Klinedinst PC as shareholders and co-chairs of the firm’s Corporate & Securities and Transactional and M&A practice groups.
Professional Affiliations
I am the secretary and serve on the board of trustees of the Business Executives Council. I am also a member of the San Diego Chapter of the Association for Corporate Growth, the San Diego County Bar Association and the Business Law Section of the American Bar Association (ABA). I also serve as a member of the ABA’s Committees on Mergers & Acquisitions, Middle Market and Small Business, Private Equity and Venture Capital and State Regulation of Securities.
Personal Affiliations
I currently serve on the board of directors of the Los Rancheros Kiwanis Club in Rancho Bernardo. The club focuses on serving the community, with a particular focus on children and seniors.
Personal Background
I am almost a San Diego native (I moved to San Diego at age 1) and grew up here. After graduating from Torrey Pines, I headed off to the East Coast to Boston College. While at BC, I was a varsity sprinter and served as captain of the track team for my junior and senior years. After 13 years of East Coast winters, my wife and I moved back to San Diego to continue our legal careers and start our family. We have a very opinionated 2-year old girl and a new baby boy.

Arguments over liability complicate — even kill — otherwise easy lease transactions. Law firm decision-makers contemplating a relocation or renewal would be well-served to understand and carefully consider how they intend to deal with partner liability from the outset.
