Major Cases
I am a real estate and business transactional attorney. My real estate practice involves representing public and private builders and individual investors in the acquisition, structuring, financing, entitlement, sale and leasing of all types of real estate. In each negative real estate cycle over the last three decades, my practice focuses on representing lenders, borrowers, and guarantors in restructuring of loans, loan workouts and in analyzing and structuring opportunistic real estate acquisitions, and sales of single assets and portfolios of assets. In this recovering real estate cycle, my practice focuses on representing builders, investors and large equity funds in structuring debt and equity in joint ventures between builders, developers, equity funds and institutional lenders.
My business practice includes representing clients in the planning, formation, expansion, ongoing operation, acquisition and disposition of their businesses. The business clients include companies providing professional and other consulting services, restaurants, hotels, dealerships, and a wide and diverse range of other businesses.
Professional Background
In 1975, I started my legal practice as the founding partner of Kolodny & Pressman, a boutique real estate and business transactional firm. I have an outstanding group of clients who have afforded me the opportunity to grow a hands-on practice by allowing me to play a meaningful and on-going role with their companies. I feel very fortunate to be able to represent our firm's clients in analyzing the viability of potential ventures, helping structure, negotiate and ultimately document significant transactions.
Professional Affiliations
My professional affiliations have included the San Diego County Bar Association, the California State Bar Association, the American Bar Association, the National Association of Homebuilders, Urban Land Institute, the Building Industry Association of San Diego, Lambda Alpha International, the New Car Dealers Association, Restaurant Tavern Associations and other trade organizations.
Personal Affiliations
The personal affiliations I am most proud of are the long-term professional and personal relationships I have with many of our clients whom I have worked with closely for many years. To be an attorney and friend for such a highly diverse and successful group of clients, many of whom I have had the pleasure to work with for decades, is the most fulfilling and rewarding component to me of practicing law.
Personal Background
I have been married to my wife, Martha, for 30 years, and have two wonderful and accomplished daughters. My passion is cooking and enjoying food and wine with good friends and family.
