NOTICE OF A JOINT PUBLIC HEARING BY THE CITY COUNCIL OF THE CITY OF SAN DIEGO AND THE
REDEVELOPMENT AGENCY OF THE CITY OF SAN DIEGO ON THE PROPOSED SALE OF CERTAIN REAL PROPERTY
IN THE CENTRAL IMPERIAL REDEVELOPMENT PROJECT AREA TO PACIFIC DEVELOPMENT PARTNERS, LLC FOR THE DEVELOPMENT OF LOTS 2-7 IN THE VALENCIA BUSINESS PARK.

NOTICE IS HEREBY GIVEN, that the Council of the City of San Diego (the "Council) and the Redevelopment Agency of the City of San Diego (the "Agency") will hold a joint public hearing on November 28, 2006, at the hour of 2:00 p.m. or as soon thereafter as the matter can be heard, in the Council Chambers, 12th Floor, City Administration Building, 202 "C" Street, San Diego, California, pursuant to the California Community Redevelopment Law (Health and Safety Code, Section 33000 et. seq.), for the purpose of considering the proposed sale of certain real property in the Central Imperial Redevelopment Project Area to Pacific Development Partners. The Council and Agency also will consider a Disposition and Development Agreement with Pacific Development Partners, LLC (the "Developer") which establishes the terms and conditions for the sale of the property and the development of Lots 2-7 in the Valencia Business Park.

The joint public hearing will be held to consider:

1. The proposed sale of certain real property in the Central Imperial Redevelopment Project by the Agency to the Developer for the development of Lots 2-7 in the Valencia Business Park is located on the parcel illustrated and designated as the Site on the map accompanying this Notice.

2. The proposed Disposition and Development Agreement (the "Agreement") executed by the Developer and submitted to the Agency in the form desired by the Developer, providing for the proposed sale of certain such real property and the
development of Lots 2-7

3. The certification of a Secondary Study of Environmental Impacts with respect to the proposed Agreement between the Agency and the Developer and the proposed sale of real property and development of Lots 2-7

The following documents are available for public inspection and copying during regular office hours (8:00 a.m. to 5:00 p.m., Monday through Friday) at the offices of the City Clerk, 202 "C" Street, City Administration Building, 12th Floor, San Diego, California 92101 and at the office of the Southeastern Economic Development Corporation, 4393 Imperial Avenue, Suite 200, San Diego, CA 92113.

1. A copy of the proposed Disposition and Development Agreement.

2. A summary staff report which describes and specifies:

a. The major elements of the Agreement;
b. The costs to be incurred and revenues anticipated by the Agency under the proposed Agreement;
c. The estimated value of the interests to be sold pursuant to the proposed Agreement determined at the highest and best use permitted under the Central Imperial Redevelopment Plan;
d. The purchase price to be paid for the property under the Agreement; and
e. An explanation of why the sale of the property will assist in the elimination of blight.

As the Agency responsible for carrying out the Redevelopment Plan for the Central Imperial Redevelopment Project, the Agency has previously prepared and certified the Environmental Impact Report for the Central Imperial Redevelopment Project. Among the implementation activities whose environmental impacts are assessed in the Environmental Impact Report is the development proposed to be accomplished under the Agreement. In connection with its consideration of the proposed Agreement, the Agency has prepared a Secondary Study to determine if the development thereunder will have additional significant effects on the environment greater than those covered in the Environmental Impact Report for the Central Imperial Redevelopment Project. As a result of the environmental analysis contained in Secondary Study, a negative declaration, subsequent or supplemental environmental impact report or an addendum to the Environmental Impact Report will not be required and will not be prepared. The Secondary Study pertaining to the proposed Agreement and the Environmental Impact Report prepared for the Central Imperial Redevelopment Project at the time of its adoption, with applicable supplements and agenda, will be considered by the Council and Agency at the time of the public hearing on the Agreement. Copies of the Secondary Study and the Environmental Impact Report, with applicable supplements and agenda, are available for public inspection and copying in the offices of the City Clerk, Redevelopment Agency and Southeastern Economic Development Corporation (SEDC) at the places and time specified hereinabove.
At any time before the date and time set forth above for the joint public hearing by the Council and Agency, any written comments on or objections to the proposed Agreement or the proposed sale of the property may be filed with the City Clerk, Redevelopment and SEDC. Comments may also be submitted during such period on the staff report, Secondary Study and other documents referred to in this Notice. All persons wishing to question, comment on, object to, or be heard on such matters at the joint public hearing will be given an opportunity to appear and be so heard.
