ORDINANCE GRANTING A DECLARATION OF RECIPROCAL EASEMENTS AND COVENANTS AGREEMENT FOR LANE FIELD NORTH AND LANE FIELD SOUTH AND GRANTING INDEMNITY
 
WHEREAS, the San Diego Unified Port District (District) is a public corporation created by the Legislature in 1962 pursuant to Harbors and Navigation Code
Appendix I (Port Act); and
WHEREAS, Section 87(b) of the Port Act grants authority to the District to lease the tidelands or submerged lands, or parts thereof, for limited periods, not
exceeding 66 years, for purposes consistent with the trusts upon which those lands are held, by the State of California; and
WHEREAS, LPP Lane Field, LLC (Developer) has an option to lease agreement (Option to Lease) with the District which provides for development of a 400-room hotel on the Lane Field North site, and provides the Developer with options to
develop the adjacent Lane Field South site upon exercising the Option to Lease, on file in the Office of the District Clerk, as Document No. 58634, as amended; and
WHEREAS, the Lane Field North and the future development of Lane Field
South will share a common motor court and pedestrian access through the “C” Street parcel; and
WHEREAS, the proposed “C” Street view corridor and motor court will lie almost entirely within the leasehold of Lane Field North, the District is requiring LFN
Developers, LLC (LFN) to enter into a Declaration of Reciprocal Easements and Covenants Agreement (REA) on Parcel 2 of its leasehold, which will permit the ground lessee on the Lane Field South project access to and use of the driveway; and
WHEREAS, the future Lane Field South project will reimburse the Lane Field North lessee for its proportionate share of the costs of maintaining, operating,
landscaping and repairing the driveway; and
WHEREAS, the REA contemplates a scenario wherein the District could assume control of one or both of the hotels through default or other event resulting in the early termination of one of the leases; and
WHEREAS, if this scenario were to occur, the District would then become a party to the REA and pursuant to its provisions would be required to indemnify the other parties only if the District takes possession of a completed hotel or hotels and only for the period of time that the District directly controls the hotel or hotels. 
NOW THEREFORE, the Board of Port Commissioners of the San Diego Unified Port District does ordain as follows:
Section 1. The Ordinance granting a Declaration of Reciprocal Easements and Covenants Agreement for Lane Field North and Lane Field South is hereby granted and approved.
      Section 2.  The Executive Director or his designated representative is hereby
directed to execute the Declaration of Reciprocal Easements and Covenants for Lane Field North and Lane Field South and granting indemnity as provided in
Section 2 of the Declaration of Reciprocal Easements only if the San Diego Unified Port District takes possession of a completed hotel or hotels and only for the period of time that the San Diego Unified Port District directly controls the hotel or hotels.
      Section 3.  This Ordinance shall take effect on the 31st day from its passage by the Board of Port Commissioners.

ORDINANCE 2759
 
ORDINANCE GRANTING AMENDMENT NO. 4 TO THE OPTION AND LEASE AGREEMENT WITH LPP LANE FIELD, LLC FOR DEVELOPMENT OF THE LANE FIELD NORTH HOTEL PROJECT
 
WHEREAS, the San Diego Unified Port District (District) is a public corporation created by the Legislature in 1962 pursuant to Harbors and Navigation Code
Appendix I (Port Act); and
WHEREAS, Section 87(b) of the Port Act grants authority to the District to lease the tidelands or submerged lands, or parts thereof, for limited periods, not
exceeding 66 years, for purposes consistent with the trusts upon which those lands are held, by the State of California; and
WHEREAS, LPP Lane Field, LLC (Developer) has an option to lease agreement (Option to Lease) with the District which provides for development of a 400-room hotel on the Lane Field North site, and provides the Developer with options to

WHEREAS, pursuant to Ordinance No. 2680 adopted by the BPC on August 14, 2012, the District granted Amendment No. 1 to the Option to Lease, on file in the
Office of the District Clerk; and
WHEREAS, pursuant to Ordinance No. 2740 adopted by the BPC on October 8, 2013, the District granted Amendment No. 2 to the Option to Lease, on file in the
Office of the District Clerk; and
WHEREAS, pursuant to Ordinance No. 2753 adopted by the BPC on February 11, 2014, the District granted Amendment No. 3 to the Option to Lease, on file in the Office of the District Clerk; and
WHEREAS, after further review the Developer has identified three areas in the Option to Lease and Lease Agreement that need additional clarification; and
WHEREAS, three areas in the Option to Lease and Lease Agreement need
additional clarification as follows: 
1.   Lease Paragraph 3(d): Additional Rent: The proposed modification clarifies that the additional rent calculation is based on gross revenues that the lessee is “due” from operation of the hotel, including rents from the retail space, rather than including gross sales of the subtenants themselves.
2.   Lease Paragraph 3.2(c): Rent Review: The proposed modification clarifies and makes internally consistent the maximum percentage rental rates adjustment in the rent review process. 
3.   Lease Paragraph 25: Insurance: The proposed modifications reflect
comments provided by the potential manager of the hotel, Marriott, to clarify the
insurance provision of the ground lease attached to the Option to Lease.
WHEREAS, staff has reviewed all of the proposed modifications and determined that they are minor in nature or are meant to reflect the intent of the approved
transaction with the Developer and recommends the BPC grant Amendment No. 4 to the Option and Lease Agreement.
NOW THEREFORE, the Board of Port Commissioners of the San Diego Unified Port District does ordain as follows:
Section 1. Amendment No. 4 to the Option and Lease Agreement between the San Diego Unified Port District and LPP Lane Field, LLC to:  1) clarify the additional rent calculation; 2) to make consistent the maximum percentage rental rates
adjustment in the rent review process; and 3) to clarify the insurance provision of the ground lease attended to the Option to Lease is hereby granted and approved.
      Section 2. The Executive Director or his designated representative is hereby
directed to execute Amendment No. 4 to the Option and Lease Agreement.
      Section 3. This Ordinance shall take effect on the 31st day from its passage by the Board of Port Commissioners.

ORDINANCE 2760
 
ORDINANCE AMENDING THE ANNUAL BUDGET FOR FISCAL YEAR 2013/2014
 
WHEREAS, the San Diego Unified Port District (District) is a public corporation created by the Legislature in 1962 pursuant to Harbors and Navigation Code
Appendix I (Port Act); and
WHEREAS, Section 21 of the Port Act grants authority to the Board of Port
Commissioners (BPC) to pass all necessary ordinances and resolutions for the
regulation of the District; and
WHEREAS,  pursuant to Section 47 of the Port Act, the BPC is required to meet for the purposes of fixing the final budget; and
WHEREAS, on July 16, 2013, pursuant to Ordinance 2731, the BPC adopted the annual budget for Fiscal Year 2013/2014; and
WHEREAS, on June 11, 2013, the BPC adopted BPC Policy No. 090 to
establish a policy for the transfer of amounts between appropriated items in the budget; and
WHEREAS, pursuant to Resolution No. 2014-50 adopted by the BPC on March 4, 2014, the District added a portion of the Tenth Avenue Marine Terminal Fuel and
Water Vaults Project to the Fiscal Year 2013/2014 Major Maintenance Program,
requiring the transfer of $150,000 from the Fiscal Year 2013/2014 Major
Maintenance Expense Contingency to the Major Maintenance Capital Appropriation budget.
NOW THEREFORE, the Board of Port Commissioners of the San Diego Unified Port District does ordain as follows:
Section 1.  That the Annual Budget for Fiscal Year 2013/2014 is hereby
amended to transfer $150,000 to the Major Maintenance Capital Appropriation from the Major Maintenance Expense Contingency.
Section 2.  This Ordinance shall take effect on the 31st day from its passage by the Board of Port Commissioners.

AS NEEDED ENVIRONMENTAL AND LAND USE
PROJECT MANAGEMENT SERVICES

The San Diego Unified Port District seeks proposals from qualified firms to provide AS NEEDED ENVIRONMENTAL AND LAND USE PROJECT MANAGEMENT SERVICES. The San Diego Unified Port District's (District) Environmental and Land Use Management (ELUM) Department is seeking on-call, as-needed project management consultant services for projects on District tidelands, submerged lands, and uplands around San Diego Bay. One of the Department's key responsibilities is to review projects for compliance with the California Environmental Quality Act (CEQA), the National Environmental Policy Act (NEPA), the California Coastal Act (Coastal), the Port Master Plan (PMP), and related laws and regulations in accordance with protecting the tidelands trust. The Department also maintains the PMP and issues Coastal Development Permits for District- and tenant-sponsored projects. NOTE: An Information Exchange Meeting will be held on March 17, 2014 at 9:30 a.m. at the Port of San Diego in the Administration Training Room, located at 3165 Pacific Highway, San Diego, CA 92101. Proposals must be received no later than April 10, 2014 at 2:00 p.m.
