NOTICE OF PUBLIC HEARING

NOTICE IS HEREBY GIVEN in accordance with Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”) that at 2:00 P.M. or soon thereafter as the matter can be heard, on June 10, 2013, the Council of the City of San Diego (the “Council”) will conduct a public hearing (the “Public Hearing”) at its regular meeting place, Council Chambers, 12th Floor, at 202 “C” Street, City Administration Building, San Diego, California. During the Public Hearing, the Council will hear and consider information concerning the proposed sale and issuance by the Public Facilities Financing Authority of the City of San Diego (the “Authority”) of its Lease Revenue Bonds and Lease Revenue Refunding Bonds (the “Bonds”), to be issued in one or more series, on behalf of The City of San Diego (the “City”). The sale and issuance of the Bonds will be pursuant to a plan of financing and refinancing that includes the (i) financing of the costs of the acquisition, construction, installation and equipping of certain capital improvement projects of the City and (ii) refinancing of (a) the City’s 2003 Certificates of Participation (1993 Balboa Park/Mission Bay Refunding) (the “2003 Certificates of Participation”) and (b) The City of San Diego/MTDB Authority’s 2003 Lease Revenue Refunding Bonds (San Diego Old Town Light Rail Transit Extension Refunding) (the “2003 Lease Revenue Refunding Bonds”), as described below:

(1) the financing of the costs of the acquisition, construction, installation and equipping of certain capital improvement projects of the City (collectively, the “2013 Projects”), to be owned by the City;

(2) the refinancing of the 2003 Certificates of Participation, which 2003 Certificates of Participation refinanced improvements to the following facilities (collectively, the “Balboa Park/Mission Bay Projects”), certain portions of such facilities comprise space that is currently leased or will be leased to 501(c)(3) organizations:

i. improvements to Mission Bay Park, a 4,600 acre aquatic park located nine miles north of San Diego; shoreline reclamation activities and park improvements owned by the City;

ii. improvements to Balboa Park, a 1,200 acre centrally located municipal park owned by the City adjacent to downtown, including improvements to (a) Federal Building, operated by San Diego Hall of Champions, a California nonprofit corporation, (b) House of Hospitality and Persian Fountain, operated by House of Hospitality Association, Inc., a California nonprofit corporation, (c) House of Charm, operated by the San Diego Art Institute, Old Globe Theatre, and Mingei International Inc., each a California nonprofit corporation, (d) Japanese Friendship Garden, operated by the Japanese Friendship Garden Society of San Diego, a California nonprofit Corporation, and (e) Starlight Bowl, operated by San Diego Civic Light Opera Association, Inc., a California nonprofit corporation;

iii. municipal gymnasium owned and operated by the City; and

iv. miscellaneous municipal improvements in conjunction with the City Balboa Park and Mission Bay Park Capital Improvements Program;

(3) the refinancing of the 2003 Lease Revenue Refunding Bonds, which 2003 Lease Revenue Refunding Bonds refinanced the acquisition, installation, equipping and construction of an extension to the San Diego Light Rail Transit System of Old Town San Diego, owned by the San Diego Metropolitan Transit System (the “Light Rail Transit Project,” and together with the Balboa Park/Mission Bay Project and the 2013 Project, the “Projects”); and

(4) the financing of various costs of issuance in connection with the issuance of the Bonds.

The Bonds will be issued in an aggregate principal amount expected not to exceed $52,000,000, of which $36,500,000 is the expected not to exceed principal amount (plus original issue premium in an amount not to exceed $6,000,000) for the 2013 Project, and $15,500,000 is the expected not to exceed principal amount (plus original issue premium in an amount not to exceed $4,500,000) for the refunding of the 2003 Certificates of Participation and the 2003 Lease Revenue Refunding Bonds. The Bonds will be secured by lease payments to be made by the City to the Authority pursuant to the Facilities Lease, dated as of July 1, 2012, as amended and supplemented by the First Amendment to Facilities Lease, each by and between the City and the Authority.

Those wishing to comment on the issuance of the Bonds or on the proposed nature and location of the Projects may either appear in person at the time and place indicated above or submit written comments, which must be delivered to the City Clerk’s Office before the Public Hearing.
