Association of Corporate Counsel: Upcoming events

Related Special Reports

The San Diego Chapter of the Association of Corporate Counsel is recognized as the key resource for information, networking, professional development, education and social activities for in-house attorneys. Here are some upcoming events and seminars around San Diego County.

Aug. 13, 7:30 - 9:00 a.m.: Meet Your Counterpart: An Insurer's Duty to Defend: Don't Be Short-Changed!

Location: Dassault Systems BIOVIA, 5005 Wateridge Vista Drive, San Diego

Overview: Insurance companies will sometimes agree to “defend,” but will then attempt to short-change their insured by providing less protection than the insured is entitled to receive. This seminar will address five ways insurers try to avoid or water down their duty to defend. Insurance coverage experts from sponsor Osborne & Nesbitt LLP will discuss these and related topics and issues at their annual ACC-San Diego Insurance Seminar.

Learning Objectives: Those who attend this program will take away answers to the following questions:

* What is the duty to defend?

* What triggers an insurer’s duty to defend?

* What is the scope of an insurer’s duty to defend?

* When must an insurer defend even though there is no potential for covered liability?

* What must an insurer show before asserting an exclusion to eliminate its duty to defend?

* What are an insurer’s duties in a “mixed action” that includes both covered and non-covered claims?

* When must an insurer pay costs associated with prosecution of its insured’s affirmative claims?

* When is an insured entitled to be defended by its own lawyer, rather than by the insurance company’s lawyer?

Location: Gafcon Inc., 5960 Cornerstone Court West, Suite 100, San Diego

Overview: Drafting contracts: Critical skills that every in-house counsel should master.

A special four-part ACC seminar series designed to help corporate counsel negotiate and draft better contracts.

Solid contract-drafting skills are essential tools for any corporate counsel who deals with business agreements. Unfortunately, many contracts -- even those drafted by experienced attorneys -- are sometimes plagued with ambiguities, inconsistencies, and unintended imprecision rendering them confusing, risky, and potentially very costly. This four-part seminar is designed to convey important -- but often unconsidered skills -- to assist both the newly admitted or seasoned attorneys.

Indemnification and Representations and Warranties – Tying it all together and the interplay between those provisions.
