Major Cases

I serve as primary outside corporate and securities counsel for a number of local companies. Notable recent transactions include the $100 million initial public offering of AeroVironment; numerous public and private offerings of BioMed Realty Trust and Extra Space Storage raising more than $2 billion; the sale of Capital Automotive REIT to DRA Advisors for over $3 billion; and numerous acquisitions of public and private companies for ViaSat and Zhone Technologies.

Professional Background

I began my career with Latham & Watkins in 1993 and now serve as vice chair of the San Diego office's Corporate Department and local chair of the Mergers and Acquisitions Practice Group. I have built my practice around corporate finance, mergers and acquisitions, and general company representation in a broad range of industries. I regularly represent issuers, venture capital providers and investment banks in public and private equity and debt offerings, restructurings and other financing transactions. I also represent public and private companies in a variety of merger and acquisition, joint venture and corporate partnering transactions.

Professional Affiliations

I currently serve on the Board of Visitors of Stanford Law School and on the San Diego Regional Disaster Board of the San Diego Foundation. I am an author of the Annual Meeting Handbook, which is published annually and distributed nationwide by RR Donnelley, and regularly lecture on related corporate and securities topics.

Personal Background

I was born and raised in San Diego and currently live in North County with my wife Meredith and young son John.
