I represent public companies including Northrop Grumman, Beckman Coulter, Overland Storage and MicroIslet in ongoing securities law compliance and corporate governance. I have completed numerous public and private securities offerings for public company clients. I also represent private companies in formation, angel and venture capital financings, strategic partnerships, and mergers and acquisitions. Significant transactions have included representation of RF Magic in its merger with Entropic Communications; representation of SiliconSystems Inc. in venture capital financings with Samsung Ventures, Rustic Canyon, Shepherd Ventures and Miramar Venture Partners; representation of Ebert Composites in a strategic partnership with Martin Marietta Composites, and representation of Carolina Precision Plastics in its acquisition of Augros.

I am a partner in the Corporate Practice Group of Sheppard Mullin. I practiced law in Denver, Colo., before moving to San Diego in 1998.

I am an Adjunct Professor at the University of San Diego School of Law, where I co-teach “Deals” with Professor Frank Partnoy. Personal Background
I grew up in Northbrook, Ill., and graduated Glenbrook North High School, famous as the inspiration/location for many of John Hughes’ films (“Ferris Bueller’s Day Off,” “The Breakfast Club,” “Pretty in Pink”). I am married to Patricia, a woman who is “Top” in everything she does. We have four wonderful children: Daniel (20), Christian (17), Cameron (almost 3) and Alison (<1). I spend my spare time keeping young by keeping up with the kids.
