Accounting, University of Florida, 1978 Bar Admissions California, New York Practice Areas Corporate Business, Real Estate, Taxation Major Cases Acted as tax, securities and real estate counsel on more than $3.8 billion of tenant in common (TIC) acquisitions and for several billion dollars in syndicated partnerships and limited liability companies. My experience includes the acquisition of a $400 million hotel portfolio, the $148 million Puente Hills Mall and the $100 million Village of Orange mall. In addition, I was responsible for negotiating the first ever assumption of an existing syndicated loan by a syndicated TIC group of borrowers. Professional Background Just over 10 years ago I conceived the legal and tax structure for the first-ever modern syndicated tenant in common model with a client, William Passo, the basis of which is currently being used by numerous sponsors across the county. That model has expanded into a national industry with an estimated $5 billion in equity raised in the last year. Today, we are a leader in the TIC industry and at the forefront of creating new legal structures within the basic TIC model to accommodate the purchase of nontraditional TIC properties including hotels, assisted living facilities and marinas.
